Exodus Global, LLC Terms of Service
IMPORTANT: THESE TERMS OF SERVICE GOVERN THE USE OF SERVICES PROVIDED BY EXODUS GLOBAL, LLC. BY ENGAGING WITH EXODUS GLOBAL FOR ANY SERVICES OUTLINED IN A STATEMENT OF WORK OR ORDER FORM, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
If you are accepting these terms on behalf of your employer or another legal entity, you represent that you have the authority to bind such entity. In such cases, the term “Client” will refer to that entity. These Terms of Service supersede all prior agreements regarding the use of Exodus Global’s services.
1. Services
Exodus Global, LLC agrees to provide access to and use of its services as outlined in relevant agreements or order forms (“Services”), subject to these Terms of Service.
2. Restrictions on Use
The Client agrees not to:
- Rent, lease, or share the Services with any third party.
- Reverse engineer, disassemble, or attempt to derive source code from any part of the Services.
- Export or re-export any software or technical data without the necessary licenses.
3. Ownership
Exodus Global retains all rights to its Services, intellectual property, and methodologies, excluding data or deliverables originating from the Client’s systems or proprietary information. The Client gains no ownership rights to Exodus Global’s intellectual property.
4. Third-Party Products
If Services include third-party products, use of such products is subject to the manufacturer’s end-user agreements. Exodus Global provides no warranties for third-party products, and original manufacturers’ warranties will apply.
5. Confidentiality
Confidential information disclosed by either party must remain confidential and cannot be shared without written consent. Exceptions include information that:
- Was already public knowledge.
- Becomes public through no fault of the receiving party.
- Was independently developed without access to the disclosing party’s confidential information.
6. Data Use
Exodus Global may collect Client data, including personal data, for the purpose of providing Services. This data will be handled in compliance with applicable laws. Exodus Global retains ownership of de-identified aggregate data derived from the Services.
7. Warranties
Exodus Global warrants that:
- Services will be performed by qualified personnel in a professional manner.
- Services will meet commercially reasonable industry standards.
Clients must notify Exodus Global of any warranty-related issues within 10 days of service completion to enable rectification.
8. Warranty Disclaimer
Except as explicitly stated, all Services are provided “as is” without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose. Exodus Global does not guarantee uninterrupted service or the identification of all vulnerabilities.
9. Limitation of Liability
Exodus Global’s liability is limited to direct damages and cannot exceed the total amount paid by the Client for the Services in the 12 months preceding the incident. Exodus Global is not liable for indirect, incidental, or consequential damages.
10. Indemnification
Each party agrees to indemnify the other for claims arising from:
- Negligence or willful misconduct.
- Client’s unauthorized modification or misuse of the Services.
Exodus Global’s indemnification excludes claims resulting from unauthorized modifications or combinations of the Services.
11. Independent Contractor Status
Exodus Global acts as an independent contractor and is solely responsible for the methods used to deliver Services.
12. Personnel and Affiliates
Exodus Global reserves the right to designate or substitute personnel or use its affiliates to perform its obligations.
13. Assignment Prohibition
Clients may not assign or transfer rights or obligations under these Terms of Service without prior written consent from Exodus Global.
14. Publicity
Neither party may use the other’s name, trademarks, or logos in publicity materials without prior written consent.
15. Governing Law
These Terms of Service are governed by the laws of [Insert Governing Jurisdiction], without regard to conflict of laws principles. Any disputes will be resolved in the courts of [Insert Jurisdiction].
